New Business: Letter of request to consider a merger of our chambers from Greater Loon Lake Chamber of Commerce (see attachment) President Hal Howard and Vice President Mike Bucy will be present to answer any questions from our Chamber members.
A chamber member has voting privileges for the merger IF they had paid dues in 2011 or have paid their 2012 Chamber dues. You may pay your $30 dues at the meeting if you choose.

RE: Proposed merger of Springdale and Greater Loon Lake Chambers of Commerce
Dear Lela: Our Board of Directors discussed the merger of the Greater Loon Lake Chamber of Commerce with the Springdale Chamber of Commerce at its monthly meeting on January 25, but we have not yet submitted the merger to a vote of the members. We think that the following terms and conditions would be acceptable to our members.
1. The name of the new entity would be Greater Springdale/Loon Lake Chamber of Commerce.
2. The home office of the new entity would be located in Springdale.
3. We will transfer approximately $2,452 to the new organization to be applied as follows: a. $990 for a 2 year membership for 17 or our paid-up members. b. $270 for a 1 year membership for 9 previous members who did not rejoin. They will be contacted by the new entity and given the choice of accepting the membership and hopefully they will renew their membership next year. c. $600 of the total $1,260 membership funds will be used for two (2) years of membership in the Washington Tourism Alliance. The remaining $660 will be applied to the development and maintenance of a website for the new entity. d. The remaining funds of approximately $1,140 will be held in reserve to be applied to projects in the GLLCOC area for a period of two (2) years. We will appoint a committee of three (3) people from GLLCOC to decide the use of these funds. The proposed members will be Mark Whittaker, Mike Bucy and myself. In the event a member withdraws from the committee, the remaining two (2) will appoint a new member. If the funds are not used within two (2) years, they will be transferred to the general fund.
4. The new entity will be responsible for developing a website for the new entity. In the meantime, we will either continue with our present GLLCOC website or transfer it to a temporary holding site. Our contract with the Internet Provider expires in April and Mike Bucy is of the opinion that the site will not be deleted immediately.
5. We will discontinue the GLLCOC telephone.
If your organization is agreeable to the foregoing terms and conditions, we will notice a special meeting of the GLLCOC for a vote to approve the merger and wind up its affairs. Our by-laws require that we pay the funds to another 501©(6) nonprofit corporation. The foregoing figures are approximate and subject to deductions for the costs of winding up the affairs of GLLCOC.
Mark, Mike and I plan to be available at your February 2nd meeting to answer any questions you may have. We are required to give ten (10) days notice for a meeting of our members and will notice a meeting as soon as possible. Sincerely,
