By-Laws
ARTICLE I: Name of Organization
The name of this organization shall be SPRINGDALE AREA CHAMBER OF COMMERCE.
ARTICLE II: MISSION
Our mission is to provide leadership to create an environment in which our members, businesses and community can succeed.
ARTICLE III: Membership
Any resident, organization, or business of the area may become a member of the Springdale Area Chamber of Commerce upon payment of dues.
ARTICLE IV: Officers
Section 1: Elections. The officers of the Springdale Area Chamber of Commerce shall consist of a President, a Vice-President, a Secretary, and a Treasurer.
Candidates for the officer position shall be by nomination from the membership present at the last meeting in January. Election of officers shall be by majority vote of a quorum of the membership present at the last meeting in January. Nominations and election votes may be by secret ballot if a majority of those attending concur. All nominees must be members in good standing.
Section 2: Board of Directors. The Board of Directors shall consist of the elected officers and the immediate past president.
Section 3: The President. The president shall be the Chairman of the Board of Directors and shall preside at all meetings of the Springdale Area
Chamber of Commerce and shall be the liaison between the Board of Directors and the general membership.
Section 4: The Vice-President. The Vice-President shall act for the President in his or her absence.
Section 5: The Secretary. The Secretary shall keep a full and complete record of all proceedings of this organization and of the Board of Directors, keep on file all records as the Board may require, keep all notes, deeds, mortgages, leases and other instruments in writing executed by the organization, and see that all forms, fees, and taxes necessary to the operation of this organization in compliance promptly. The Secretary shall make such other reports as may be required by the Board of Directors, and shall act in the capacity of secretary for the Board of Directors.
Section 6: The Treasurer. The treasurer shall keep and deposit all monies received by the organization, shall pay out the same by check signed by him/herself and countersigned by the President and one other person designated by the membership, when authorized to do so by the Board of directors or the membership in meeting. The Treasurer shall keep an accurate record of all monies received and paid out and record all property owned by the corporation and make a full and complete financial report. He/she shall supply the Secretary with the data for filing fees and taxes necessary to the operation of the organization. He/she shall make other reports as may be required by the office.
The monies of the corporation shall be deposited in the name of the corporation in such bank or banks or trust company or companies as the Board of Directors shall designate, and shall be drawn from such accounts only by check or other order for payment of money signed by such persons, and in such manner, as may be determined by resolution of the Board of Directors.
Section 7: Terms of Office. All elected officers shall serve for a period of one year. Their term of office shall commence on the first day of the month following their election.
Section 8: Vacancies. In case of vacancy shall occur in the Board of Directors, the remaining members shall appoint a member of the organization to fill the vacancy until the next annual election meeting. A presidential vacancy shall be filled by the Vice-President and the Vice-Presidents vacancy thereby created shall be filled by appointment by the Board of Directors.
Section 9: Delegation-If any officer of the Chamber is absent or unable to act and no other person is authorized to act in such officer's place by the provisions of these Bylaws, the Board of Directors may from time to time delegate the powers or duties of such officer to any other officer or any director or any other person it may select.
ARTICLE V: Meetings
Meetings shall be held monthly at a time and place designated by the membership. Special meeting may be called by the Board of Directors. The Secretary shall notify all members of any special meeting in advance of such meeting and the meeting shall be at a time and place convenient to the general membership. The Board of Directors shall meet at least monthly at a time and place chosen by them.
All meetings of the Board of Directors/and the general membership shall be governed by majority vote of a quorum of the members present.
All meetings of the Board of Directors/and the general membership shall be open to the general public.
Unless otherwise specified, Robertıs Rules of Order shall govern the proceedings at the meetings of this organization.
ARTICLE VI: Voting.
Each individual who is a due paying member of the Springdale Area Chamber of Commerce shall be entitled to one vote at any general meeting of this organization. Each organization or business which is a dues paying member of the Springdale Area Chamber of Commerce shall be entitled to one vote by its designated representative at any general meeting of this organization. Such representative shall not be able to vote as an individual while acting as an agent of such businesses or organizations.
ARTICLE VII: Board of Directors.
The Chairman of the Board shall preside at all meetings of the Board of Directors and shall perform the duties devolving upon him and shall be the chief executive officer of the organization. The Chairman shall call special meetings of the members of the Board in the manner prescribe by these by-laws and inform the Secretary of the intent. He/she shall perform such other duties as may pertain to this office and execute on behalf of the organization with the approval of the Board and membership all instruments in writing as shall be necessary to carry on the business of the Springdale Area Chamber of Commerce.
Failure to attend three consecutive regular Board meetings without good cause, or failure or refusal to perform duties as required will be deemed sufficient cause for removal from the Board. A member may be removed by majority vote of the Board. Such person may appeal such dismissal to the general membership at the next regular meeting of the organization.
ARTICLE VIII: Dues.
The board annually per individual, organization, or business shall set dues structure. The fiscal year from February 1 to the following January 31 shall constitute a year for dues paying purposes. Dues paid between February 1 and
May 31 shall be the full amount. Dues paid between June 1 and December 31 will be pro-rated and that amount plus the next yearıs dues will be paid in advance.
ARTICLE IX: Amendments.
Any changes in this By-Laws shall be presented to the general membership for approval or rejection. Approval or the proposed changes shall be voted on at the next general meeting of the membership after their proposal.
